Terms and Conditions
1. Definitions and Interpretation
In these Terms:
- “Team 9”, “we”, “us” or “our” means Team 9 Ltd, company number 14649777.
- “Portal” means the Team 9 online compliance platform, tools, assessments, and resources.
- “Services” means the free screening tool, paid gap analysis services, compliance resources, and ongoing membership services provided via the Portal.
- “User”, “you” or “your” means any individual or organisation accessing or using the Portal.
- “Duty-holder” has the meaning given in the Terrorism (Protection of Premises) Act 2025.
- “Martyn’s Law” means the Terrorism (Protection of Premises) Act 2025 and associated statutory guidance.
2. About Team 9 Ltd
Team 9 Ltd provides security, threat assessment, and risk management consultancy services, including advisory tools and guidance designed to support organisations in understanding and managing their obligations under Martyn’s Law.
3. Eligibility and Jurisdiction
The Services are designed solely with reference to UK legislation and guidance. We make no representation that the Portal or its content is suitable for use outside the United Kingdom.
Users accessing the Portal from outside the UK do so at their own risk and remain solely responsible for compliance with any applicable local laws.
4. Description of Services
4.1 Free Screening Tool
The free screening tool provides a high-level, indicative assessment to assist users in considering whether Martyn’s Law may apply to their premises or activities.
The screening tool:
- is not a legal determination;
- does not constitute legal advice;
- does not confirm whether the Act applies in any specific case.
Final responsibility for determining applicability rests solely with the duty-holder.
4.2 Paid Gap Analysis
Paid gap analysis services provide advisory support to help identify potential areas of improvement against relevant guidance and recognised good practice.
Gap analysis outputs:
- do not constitute certification, approval, or confirmation of compliance;
- are based entirely on information supplied by the user;
- are advisory in nature only.
4.3 Resources and Ongoing Membership
Templates, plans, training materials, updates, and revised resources are provided as guidance tools only.
Ongoing membership provides access to updates and revisions but does not guarantee:
- completeness;
- continued legal compliance;
- alignment with all future legislative or regulatory changes.
5. No Legal Advice or Certification
The Services do not constitute legal advice and should not be relied upon as such. Team 9 does not provide legal opinions, compliance certification, regulatory sign-off, or guarantees of compliance.
Users should obtain independent legal or professional advice where required.
6. Duty-Holder Responsibility
Responsibility for compliance with Martyn’s Law and all other applicable legal obligations remains solely with the duty-holder.
Use of the Portal does not transfer, delegate, or reduce any statutory responsibility.
7. Non-Reliance
You acknowledge and agree that:
- no reliance should be placed on the Services as confirmation of legal compliance;
- outputs from the Portal do not constitute evidence of compliance for regulators, insurers, or third parties;
- compliance decisions remain your responsibility.
8. User Obligations and Accuracy of Information
You agree to:
- provide accurate, complete, and up-to-date information;
- ensure responses to questions are truthful and properly understood;
- promptly update information where circumstances change.
Team 9 accepts no responsibility for outcomes arising from inaccurate, incomplete, misunderstood, or misleading information supplied by users.
9. Fees, Subscriptions, and Payment
Fees for paid Services and ongoing membership are as stated at the point of purchase.
Unless otherwise stated:
- fees are non-refundable once Services have commenced;
- subscriptions may be cancelled in accordance with the terms presented at purchase.
10. Intellectual Property
All intellectual property rights in the Portal, Services, methodologies, templates, frameworks, and materials remain the property of Team 9 Ltd.
Users are granted a limited, non-exclusive, non-transferable licence to use materials for their internal business purposes only.
You must not:
- reproduce, distribute, or resell materials;
- share access outside your organisation;
- use the Services to train or develop competing systems or services.
11. Limitation of Liability
To the maximum extent permitted by law:
- Team 9 shall not be liable for any indirect, consequential, or economic loss, including loss of profit, business interruption, or reputational damage.
- For paid Services, Team 9’s total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
- For free Services, Team 9 accepts no liability.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
12. Indemnity
You agree to indemnify and hold harmless Team 9 from any claims, losses, or liabilities arising from:
- your use or misuse of the Services;
- information you provide via the Portal;
- representations made by you to third parties regarding compliance.
13. Suspension and Termination
Team 9 may suspend or terminate access to the Portal where:
- these Terms are breached;
- misuse is identified;
- required fees remain unpaid.
Termination does not affect accrued rights or obligations.
14. Data Protection and Privacy
Personal data is processed in accordance with our Privacy Policy, which forms part of these Terms.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
Acceptance
By accessing or using the Portal, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions.
